OpenAI Offer Negotiation Calculator for OpenAI Salary Negotiation and Equity

Every US OpenAI job posting prints a base salary range and, for the equity, two words: Offers Equity. That split tells you where to negotiate. The base is boxed in by a published range. The equity is not disclosed at all, it is private, and it can only be sold in company-run tender offers. Work out where your base sits in the range, decide what the private equity is worth to you, then counter on the part with room.

Direct answer

OpenAI offer negotiation has two levers. Base salary is capped by the range on the posting: across 150 US software engineer postings on October 19, 2026 the median range was 266,000 to 445,000 dollars. Equity is listed only as "Offers Equity," so it is the larger and less visible lever. Counter the base toward the top quarter of the range, then ask for more equity, valued after a discount for private shares you cannot sell freely.

Run the numbers

Value the OpenAI offer against a public-company offer, quarter by quarter.

Enter the OpenAI base and the range printed on the posting, the 4-year value of the equity, the cliff in your letter and the discount you put on private shares. Add the competing offer. The calculator shows where your base sits in the range, what each offer has paid at months 6, 12, 24, 36 and 48, and how much more equity closes any gap.

Liquidity discount is your own assumption. OpenAI equity is private and is sold only in company-run tender offers, so a discount is a planning choice, not a market price.
Leave after OpenAI Competing Gap

Equity vests quarterly over four years, with everything owed so far released at the cliff. Figures are before tax and hold both companies' share values flat. The grant, cliff and repayment terms in your written offer govern. This is career coaching, not tax, legal or investment advice.

The problem

Here is a typical case. OpenAI offers a 310,000 dollar base against a posted range of 266,000 to 445,000, which is about 25 percent of the way up, plus equity the recruiter values at 1,000,000 dollars over four years with no cliff. A public company offers 250,000 in base, 800,000 in RSUs with a 12-month cliff and a 50,000 dollar sign-on. On paper OpenAI wins by 390,000 dollars. But you cannot sell OpenAI shares when they vest. Discount them by 25 percent for that and the lead over four years is 140,000, and at month 12 OpenAI is actually 2,500 dollars behind because the other sign-on is now yours to keep. Discount by more than 39 percent and the public offer wins outright.

How Counteroffer handles it

Paste the OpenAI offer and the posting into Counteroffer. It reads the range, the equity figure, the vesting and any repayment terms, places your base in the range, lines the offer up against a competing offer at every quarter and tells you whether the base, the equity or a sign-on is the lever worth pulling. Then it writes the counter email to the recruiter with one number per lever and a one-line reason for each, so you send one clean ask before the deadline.

The numbers

OpenAI posted base salary ranges by role family.

We read every listing on OpenAI's public job board on October 19, 2026. Of 813 postings, 648 printed an annual base salary range and 639 said "Offers Equity" without a figure. The table shows the median bottom and top of the posted range for each role family, and the median ratio of top to bottom. 545 of the ranged roles were in San Francisco. These are posted base salaries only, not total compensation.

Role family Postings with a range Median posted min Median posted max Max divided by min
Researcher, research engineer or scientist 31 $380,000 $500,000 1.32
Engineering manager 13 $401,000 $445,000 1.11
Product manager 10 $309,000 $385,000 1.31
Software engineer 150 $266,000 $445,000 1.67
Data scientist 16 $265,500 $385,000 1.67
Designer 7 $245,000 $310,000 1.27
Solutions roles 10 $216,000 $266,500 1.26
Account executive, manager or director 12 $189,000 $265,000 1.27
Forward deployed engineer 14 $185,000 $300,000 1.62
All postings with a range 648 $251,000 $370,000 1.32

Two things stand out. Software engineer and data scientist ranges are the widest on the board: the top is 1.67 times the bottom, so where you land inside the range is worth up to 179,000 dollars a year in base at the median. Research and engineering manager ranges are narrow and high, so the base has little room and the equity carries the negotiation. The range on your own posting beats any median here, so use that number in the calculator.

The stat everyone quotes

"OpenAI pays by level, there is nothing to negotiate."

The level fixes the range, not your place in it. Base ranges on OpenAI postings are wide, and the equity figure is not published at all.

This line shows up in forum threads about frontier AI labs, usually from someone whose first ask was turned down. It confuses two different things. A level sets the band. Inside the band, the posted software engineer range at the median runs from 266,000 to 445,000 dollars, and an offer at the bottom of it is not the same job at a different price. It is a choice the recruiter made that a written reason can move.

The equity side is less visible and usually larger. Every posting we read lists equity only as "Offers Equity." That means there is no published anchor to argue against, which cuts both ways. You cannot point to a number on the page, but neither can the recruiter. A written competing offer with a specific stock figure becomes the anchor.

What does not work is asking for the same thing twice or bluffing. One clean counter with a reason per lever is how candidates move OpenAI offers, and the same rule applies at every company that publishes ranges.

How to do it

How to negotiate an OpenAI offer, step by step.

01

Find the range on your own posting

Open the posting you applied to and copy the base range printed at the bottom. Every US OpenAI posting with a range lists it in annual base salary. Put your offer into the calculator above and note the percentage. Under the 75th percentile mark, there is usually room on base. If you are already near the top, the ask moves to equity. The salary range calculator does the same math for any posted range.

02

Get the equity terms in writing

Ask the recruiter for the dollar value of the grant, the number of units, the price used to convert one into the other, the vesting schedule and whether there is a cliff. OpenAI was reported to cut its cliff from 12 to 6 months in April 2025 and to drop it for new hires in December 2025, so read the letter, not a forum thread. Ask how and when employees have been able to sell vested shares.

03

Decide what private shares are worth to you

A vested share you cannot sell for a year or more is worth less to you than cash or a public RSU, even at the same headline price. Pick a discount you can defend, put it in the calculator, and see where the offers cross. If OpenAI only wins at a discount you would not use, the counter belongs on equity or on cash.

04

Line up the competing offer at the same months

A Google offer with front-loaded vesting or a Meta offer that vests every quarter pays differently in year 1 than over four years. Compare cumulative pay at the month you might realistically leave. The job offer comparison calculator handles offers without private equity.

05

Counter once, with one number per lever

Ask for a base inside the posted range, an equity figure sized to the 4-year gap after your discount, and a sign-on that covers anything you forfeit by resigning. Do not ask for a base above the posted maximum: the range is published under California pay transparency law and recruiters rarely go past it. The counteroffer calculator sets how far above the offer each number should sit.

06

Settle relocation and start date in the same email

Most OpenAI postings we read describe a hybrid schedule of three days a week in the office and relocation assistance for new employees. If you are moving to San Francisco, ask for the relocation terms in writing alongside the counter. The relocation package calculator sizes a lump sum after tax.

Subject: Re: OpenAI offer for [role] Hi [name], Thank you for the offer. I am excited about the team and the work, and I want to get to a yes. The posted range for this role is [min] to [max], and the offer sits at [percent] percent of it. Given [one specific reason: years on the exact problem, a shipped system, a publication], I would like to ask for a base of [amount]. On equity, I hold a written offer from [company] with [amount] in public RSUs over four years. Because OpenAI shares can only be sold in company tender offers, I value them below that headline. Could you move the equity grant to [amount]? I would also ask for a sign-on of [amount] to cover [unvested stock or bonus] I leave behind. With these changes I would be ready to sign this week. Thank you, [your name]

Frequently asked

Questions people ask about OpenAI offer negotiation.

Does OpenAI negotiate salary?

Yes, inside the posted range. Every US OpenAI posting we read prints a base range, and the median software engineer range on October 19, 2026 ran from 266,000 to 445,000 dollars, so an offer near the bottom has room. Equity is listed only as "Offers Equity" and is often the bigger lever. A written competing offer and a specific reason move both.

What is the salary range for an OpenAI software engineer?

Across 150 US software engineer postings with a range on OpenAI's job board on October 19, 2026, the median posted range was 266,000 to 445,000 dollars in annual base salary. Individual postings ran from a 153,000 dollar bottom to a 555,000 dollar top. Equity comes on top and is not published. Check the range on your own posting, since it is what the recruiter will work from.

Does OpenAI have a vesting cliff?

It has changed twice. OpenAI was reported to shorten its new-hire cliff from 12 to 6 months in April 2025, and The Wall Street Journal reported in December 2025 that it removed the cliff for new employees. Your offer letter is the only source that binds. Ask the recruiter to confirm the cliff, the vesting frequency and the first vest date in writing.

Can you sell OpenAI equity?

Only when OpenAI allows it. The company is private, so there is no public market for its shares, and employee sales have run through company-organized tender offers. That is why the calculator asks for a liquidity discount. Ask the recruiter how often tenders have happened and who was eligible, and treat the answer as a planning input, not a promise.

How much equity should I ask for at OpenAI?

Enough to beat your best alternative after the discount you put on private shares. If a public offer pays more over four years at your discount, the calculator shows the extra 4-year equity that closes the gap. Ask for that figure with the competing offer as the reason. Without a competing offer, ask for a modest increase tied to a specific skill.

Is the OpenAI posted salary range the whole package?

No. The posted range covers annual base salary only. The job board lists equity as "Offers Equity" with no figure, and many postings also mention relocation assistance and benefits. A full offer adds the equity grant and sometimes a sign-on, so compare total value over four years, not base to base.

Should I tell OpenAI about a competing offer?

Yes, if it is real and in writing. A competing offer is the strongest reason for more equity because it puts a specific number on the table where the posting has none. Share the total and the vesting, not the whole letter, and never invent one. The guide to negotiating two job offers covers the order of calls.

Can OpenAI rescind an offer if I negotiate?

It is rare. Offers get pulled after ultimatums, invented competing offers or repeated rounds, not after one professional counter. In Fidelity's 2022 survey, 85 percent of young professionals who negotiated got at least part of what they asked for. See whether you can lose a job offer by negotiating for the patterns that do cost offers.
