Nvidia Offer Negotiation Calculator for Nvidia Salary Negotiation and the Nvidia RSU Vesting Schedule
Two different Nvidia vesting schedules are in circulation, and the one in your letter changes the right counter. Offer letters Nvidia has filed with the SEC vest 25 percent of the grant on the first vesting date and 6.25 percent every quarter after it, and make the sign-on repayable in full if you resign before your first anniversary. Some Levels.fyi pages list a front-loaded 40/30/20/10 instead. On a 320,000 dollar grant, the difference between the two is 64,000 dollars by month 24.

Direct answer
Nvidia offer negotiation works best on the sign-on bonus and the RSU grant, not base. Read your letter first: on the cliff schedule from Nvidia's filed offer letters nothing vests for a year and the whole sign-on is repaid if you resign before your first anniversary, so ask for a sign-on sized to the gap at months 12 to 24 plus a prorated repayment clause. On a 40/30/20/10 schedule the stronger ask is more RSUs.
Run the numbers
Lay the Nvidia offer out at every quarter you might leave, with the sign-on clawback counted.
Enter the base, sign-on and RSU grant from the Nvidia offer, pick the vesting schedule your letter states and what happens to the sign-on if you leave inside year 1. Add what you earn today and, if you hold one, a competing offer. The calculator shows what each offer has actually paid you at months 6, 9, 12, 18, 24, 36 and 48, and the sign-on that keeps Nvidia level in the window where a sign-on can still help.

Pick the schedule your own letter states. Use 0 for the share price to value the grant at today's price. Refresh grants are left out, because no offer letter commits to them.

Stock is counted when it vests, quarter by quarter. Bonuses are counted at target. Figures are before tax. The grant, schedule and repayment terms in your offer letter govern. This is career coaching, not tax or legal advice.
The problem
Here is a typical case. You earn 250,000 dollars a year all-in. Nvidia offers a 200,000 dollar base, a 320,000 dollar RSU grant on the cliff schedule and a 30,000 dollar sign-on. A competing offer pays 210,000 dollars in base and bonus, a 50,000 dollar sign-on and the same 320,000 dollar grant, front-loaded 38/32/20/10. On a call that sounds like a 30,000 dollar difference. Laid out by quarter it is 71,600 dollars at month 12 and 104,000 at month 24. And if you left at month 9, Nvidia would have paid you 37,500 dollars less than staying put, because no stock has vested and the sign-on goes back.
How Counteroffer handles it
Paste the Nvidia offer and any competing offer into Counteroffer. It reads the vesting language and the repayment clause from your letter, lays both offers out quarter by quarter against your current pay, decides whether sign-on, RSUs or a repayment change is the lever worth pulling at the tenure you expect, and writes the counter email to the Nvidia recruiter with one number per lever and a reason for each. The calculator above shows the math; the coach writes the message and plans the reply when the recruiter pushes back.
The numbers
What an Nvidia offer pays by the time you leave, on each vesting schedule.
Every figure comes from the same formula the calculator above runs. The Nvidia offer is a 200,000 dollar base with no cash bonus, a 30,000 dollar sign-on and a 320,000 dollar RSU grant. The competing offer pays 210,000 dollars a year in base and bonus, a 50,000 dollar sign-on and a 320,000 dollar grant vesting 38/32/20/10. Current pay is 250,000 dollars a year. Share price is held flat, stock counts when it vests and refresh grants are left out. A minus sign means Nvidia is behind by that much.
| Leave after | Nvidia, cliff schedule | Nvidia, 40/30/20/10 | Cliff vs competing offer | 40/30/20/10 vs competing offer | Cliff, prorated repayment, vs competing | Cliff vs your current job |
|---|---|---|---|---|---|---|
| 6 months | $100,000 | $164,000 | -$115,800 | -$51,800 | -$100,800 | -$25,000 |
| 9 months | $150,000 | $246,000 | -$148,700 | -$52,700 | -$126,200 | -$37,500 |
| 12 months | $310,000 | $358,000 | -$71,600 | -$23,600 | -$71,600 | +$60,000 |
| 18 months | $450,000 | $506,000 | -$87,800 | -$31,800 | -$87,800 | +$75,000 |
| 24 months | $590,000 | $654,000 | -$104,000 | -$40,000 | -$104,000 | +$90,000 |
| 36 months | $870,000 | $918,000 | -$98,000 | -$50,000 | -$98,000 | +$120,000 |
| 48 months | $1,150,000 | $1,150,000 | -$60,000 | -$60,000 | -$60,000 | +$150,000 |
Three things come out of this table. First, the schedule in your letter is worth 64,000 dollars by month 24 on the same grant, so confirm it before you counter. Second, on the cliff schedule the gap against a front-loaded offer peaks near 104,000 dollars at month 24, which is the number a sign-on request should be anchored on if you might leave inside two years. Third, a prorated repayment clause turns the sign-on into real money for someone who leaves early, and it costs Nvidia nothing if you stay, which makes it one of the easier things to get.
The stat everyone quotes
"Nvidia is hot right now, so it does not need to negotiate. Take the offer before it goes away."
Nvidia offers do move, mostly on sign-on and RSUs. A single, specific counter with a reason is normal. What changes the outcome is knowing which lever matches your schedule.
The idea comes from two true things: Nvidia hires heavily into AI, hardware and systems roles, and its share price has made existing grants look enormous. Neither means the first number is final. Coaching firms that work Nvidia offers describe base as close to the band for the level and the sign-on and new-hire grant as the parts that move, and The Salary Negotiator's Nvidia guide points to the most leverage for candidates with experience in processor design, software engineering, machine learning and AI.
The vesting schedule changes what you should ask for. On the cliff schedule the first year carries all the risk, so the right ask is a sign-on sized to the gap plus softer repayment terms. On a front-loaded schedule the first year is already rich, so the better ask is a larger grant, because each extra dollar keeps paying through year 4.
Asking rarely costs the offer. In Fidelity's 2022 survey of young professionals, 85 percent of those who negotiated got at least part of what they asked for, and 58 percent took the first offer without asking. Offers get pulled after ultimatums and invented competing offers, not after one professional counter.
How to do it
How to negotiate an Nvidia offer, step by step.
Find the vesting language and the repayment clause in the letter
Nvidia calls its RSUs NSUs. The filed executive letters say 25 percent on the first vesting date, then 6.25 percent every three months, and that the sign-on is paid back in full if you resign or are terminated for any reason other than a reduction in force before your first anniversary. Levels.fyi reports vest dates are fixed company-wide in March, June, September and December, not tied to your start date. Read your own letter and put its schedule into the calculator above.
Confirm the level before you argue the money
A grant one level down is worth far less over four years than any sign-on can make up. Ask how the role was leveled and what it would take to be considered at the next one. The job level value calculator prices what a level is worth across four years.
Price what you walk away from
Add up the stock at your current job that would vest in the next twelve months, the annual bonus you forfeit by resigning and anything you would have to repay. That is the floor for the Nvidia sign-on. The sign-on bonus calculator turns it into a make-whole number before and after withholding.
Line any competing offer up at the same quarters
A Google offer with front-loaded vesting beats an Nvidia cliff offer early, a Meta offer vests evenly from the first quarter, and an Amazon offer back-loads its stock, and a Tesla offer shares the one-year cliff but may let you take options instead of RSUs. The job offer comparison calculator adds benefits and 401(k) match.
Counter once, with one number per lever
Ask for a sign-on tied to the gap at the tenure you expect, an RSU figure if you plan to stay past month 36, and a prorated repayment clause if your letter repays in full. Keep any base request inside the band. The counteroffer calculator sets how far above the offer to anchor.
Check the sign-on terms one last time before you sign
If repayment stays at 100 percent before the first anniversary, you would owe the gross amount on money paid to you net of the 22 percent federal supplemental withholding. The sign-on bonus repayment calculator shows what you would owe at each month, and the Nvidia sign on bonus guide walks through the clause line by line.

Subject: Re: NVIDIA offer for [role], [level] Hi [name], Thank you for the offer. I am excited about the team and I would like to get to a yes. On the schedule in the letter nothing vests in my first year, and I would leave about [amount] in stock and bonus at my current company. I also hold a written offer from [company] that would have paid about [24-month gap] more by my second anniversary on the same size grant. If NVIDIA can raise the sign-on bonus to [number] and the RSU grant to [number], and make the sign-on repayment prorated by month rather than in full, I am ready to accept and give notice this week. Thanks again, [your name]

Frequently asked
Questions people ask about Nvidia offer negotiation.
Does Nvidia negotiate salary?
Yes, but base moves the least. Base pay sits close to the band for the level, while the sign-on bonus and the new-hire RSU grant are the parts recruiters can usually move. The strongest reasons to move them are a written competing offer and the unvested pay you give up by leaving. Ask once, with one number per lever and a reason for each.
What is the Nvidia RSU vesting schedule?
It depends on your letter. Nvidia's filed offer letters vest 25 percent on the first vesting date and 6.25 percent every three months after that, over four years. Some Levels.fyi pages list a front-loaded 40/30/20/10, paid quarterly. Levels.fyi reports vest dates are fixed company-wide in March, June, September and December. The schedule in your own letter is the one that governs.
Do you have to pay back an Nvidia sign on bonus?
On the terms in Nvidia's filed offer letters, yes, in full, if you resign or are terminated for any reason other than a reduction in force or position elimination before your first anniversary. Not prorated. That is why asking for a prorated repayment clause belongs in the same email as the sign-on number. The sign-on bonus repayment calculator shows what you would owe by month.
Should I ask Nvidia for more RSUs or a bigger sign-on?
On the cliff schedule, ask for sign-on, because your first year is where the gap is and a sign-on arrives up front. On a 40/30/20/10 schedule, ask for RSUs, because your first year is already strong and each extra grant dollar keeps paying through year 4. If you expect to stay past month 36 on either schedule, more RSUs beat more sign-on.
Can I negotiate an Nvidia new grad offer?
Usually a little. New grad offers sit in tighter bands and recruiters have less room, so the realistic asks are a modest sign-on, relocation and a start date that suits you. A written competing offer is what moves the stock. Check the sign-on repayment terms carefully, since a new grad is the hire most likely to leave inside the first year.
Does the Nvidia ESPP count in an offer comparison?
It can, but it is not in the letter. Nvidia's benefits page describes contributions of 1 to 25 percent of salary, purchases at a 15 percent discount to the lower of the offering-date price or the purchase-date price, and four purchase periods over two years, capped at 25,000 dollars of stock a year. Count it only if you will actually enroll, and compare the grant first.
How do Nvidia vest dates work if I start mid-quarter?
Levels.fyi reports Nvidia vests on fixed company-wide dates, on Wednesdays in March, June, September and December, rather than on your own start anniversary. So your first vest can land a little before or after twelve months depending on your start date. Ask the recruiter for the exact first vesting date and use it when you compare offers.
Can Nvidia rescind an offer if you negotiate?
It is rare. Offers get pulled after ultimatums, misrepresented competing offers or repeated rounds, not after one professional counter. In Fidelity's 2022 survey, 85 percent of young professionals who negotiated got at least part of what they asked for. See whether you can lose a job offer by negotiating.
