These Terms of Service ("Terms") govern your access to and use of the Counteroffer website and product. By using Counteroffer, you agree to these Terms.

Use of the service

Counteroffer is an AI salary negotiation coach. You paste a job offer or your current compensation, and it builds a counteroffer strategy: a market-rate benchmark band, a number to counter with, scripted talking points, an email template, and timing advice. You may use it for your own career decisions and are responsible for using the service lawfully and honestly.

Educational coaching, not professional advice

Counteroffer provides educational career coaching and information only. It is not legal, financial, tax, or HR advice, and using it does not create any professional, advisory, or fiduciary relationship. Market ranges, benchmark bands, and suggested numbers are estimates and general guidance, not guarantees. Counteroffer does not guarantee any outcome, including a raise, a higher offer, or a successful negotiation. You are solely responsible for your own negotiation decisions and for how you use the strategy. For advice specific to your situation, consult a qualified professional.

Accounts

You must provide accurate information when you create an account and keep your credentials secure. You are responsible for activity under your account.

Acceptable use

Do not use Counteroffer to break the law, infringe others' rights, misrepresent your situation to a third party, attempt to compromise the service or other customers, or circumvent its security controls. We may suspend access for violations.

Plans and billing

Paid plans are billed per the pricing on our pricing page. Every plan is paid and there is no permanent free option. Fees are stated in USD. Specific commercial terms may be set out in an order form or agreement for higher tiers.

Service availability

We work to keep the service available and performant. We may modify or discontinue features with reasonable notice.

Data

Our handling of your information, including the offer details you paste, is described in the Privacy Policy. We do not sell your data or share the specifics of your offer with your employer.

Intellectual property

Counteroffer and its software, content, and trademarks are owned by us. The offer details you enter and the strategy generated for you are yours to use. We grant you a limited right to use the service under these Terms.

Disclaimers and limitation of liability

The service is provided "as is" to the extent permitted by law. To the maximum extent permitted by law, we are not liable for the outcome of any negotiation, offer, or career decision you make using Counteroffer, and our liability is limited as set out in your agreement with us.

Changes to these Terms

We may update these Terms and will post the updated version here with a new date. Continued use after changes constitutes acceptance.
